These Terms and Conditions address important issues such as limitations of liability, mandatory arbitration procedures, binding class action and jury trial waivers, and our Acceptable Use Policy. Please read carefully before using any Ombee service or device.

1. Introduction and Agreement
These Terms & Conditions (“Terms”) govern your purchase and use of Ombee wireless services, SIM/eSIM, and any device you buy or receive from Ombee, and are a binding agreement between you and Audinar LLC d/b/a Ombee Mobile (“Ombee,” “we,” “us,” “our”). These Terms also apply to those you authorize to use these services and devices.
By accepting these Terms you acknowledge receiving our Privacy Policy and other policies linked to these Terms on our website (https://www.ombeemobile.com) and account-management apps. We refer to these collectively as our “Agreement.”
2. Acceptance and Updates to Terms
You accept and agree to be bound by these Terms when you: (a) purchase, activate, or use any Ombee service; (b) purchase, activate, or use an Ombee SIM/eSIM or device; (c) sign in to or manage an Ombee account; or (d) tell us orally or in writing that you accept them. If you are accepting and agreeing on behalf of an organization, you are representing to us that you are authorized to do so.
We may update these Terms to reflect changes in law, network, or services. Material changes will be posted on our website with a new effective date. We will provide further notice as required by law. Continued use after the effective date constitutes acceptance.
3. Eligibility and Accounts for Minors
Account holders must be 18 or older. Ombee allows minors aged 13–17 to purchase, activate, or use our devices and services only with verifiable consent of a parent or guardian. Consent may include: written consent; consent to payment in a parent’s or guardian’s name; or other verification we deem reasonable. We do not authorize accounts for minors under age 13. Parents and guardians are responsible for use of Ombee devices and services by minors and for any charges incurred on the account.
4. Service Description and Underlying Network Limitations
Ombee provides prepaid wireless service (unlimited talk & text; data plans) using the T-Mobile network via MVNO Connect as the underlying carrier.
Coverage, speeds, and quality depend on factors including device, location, buildings/terrain, signal strength, weather, and network congestion. Service is not guaranteed in any particular area or at any particular speed. Interruptions may occur (see Section 15).
5. Plans, Features, and Use
Ombee account holders are enrolled in one of our wireless service plans. Our current service plans are described at https://www.ombeemobile.com/pages/plans. The rates, allotments (voice, text, and data), and other features (e.g., hotspots/tethering, international voice/text/data) vary among plans. Features may also differ by device, SIM type, and network capabilities (e.g., VoLTE/VoNR, Wi-Fi Calling, Visual Voicemail).
The service plans we offer may change at any time. Once you enroll in a plan, though, it will not change until the end of the service term unless: (1) you enroll in a different plan; or (2) we modify it according to these Terms. Your service plan will control if it conflicts with these Terms. We may contact you from time to time with new plans or features available to account holders.
We measure voice call use by the minute starting from the time you start a call on our system (including the time before ringing or pickup) through termination (hang up) of the call. Partial minutes are rounded up to the next minute. Data is rounded to the nearest KB. Rounding may occur at the end of the data session or service cycle, or when you switch plans. Certain features may result in more than one call or text message, such as conference calls, call forwarding, and voicemail. The service plan you select will determine the amount of data you may use during a billing cycle, how we measure your data, and how we allocate your data. Any data allotments you do not use will expire at the end of the billing cycle and do not have any cash value. You cannot “roll over” unused data to the next cycle.
Ombee does its best to filter spam but cannot guarantee you will not receive unsolicited calls or text messages.
6. Network Management and Performance
To preserve the network experience for all users, Ombee may use reasonable management techniques, including: deprioritizing your traffic during congestion; reducing post-threshold data speeds; and optimizing certain traffic (e.g., adjusting the resolution of video streaming). Our automated abuse-control protections may also detect and mitigate abusive or anomalous usage (e.g., SIM farms, persistent high-volume traffic patterns).
7. SIMs/eSIMs and SIM Swap/Identity Verification
You must use an Ombee SIM/eSIM and a compatible, unblocked device. You are responsible for all use and charges incurred until you report the loss, theft, or unauthorized swap of your SIM/eSIM. For your protection, we may require identity verification (e.g., one-time codes, ID checks) to activate, replace, or port numbers.
8. Devices (Compatibility, Software, Loss/Theft, Warranty)
BYOD devices must be unlocked and compatible with T-Mobile network bands/features.
We or the device’s manufacturer may push software updates to maintain security or network compatibility; you consent to such updates.
Please report the loss or theft of your device immediately. You are responsible for all use and charges until it is reported. We will suspend the device’s use upon request.
Devices sold by Ombee are subject to the manufacturer’s warranty only. We disclaim any other device warranty.
9. Device Unlocking
Consistent with the CTIA Consumer Code, eligible devices are unlockable after 12 months of active service or earlier as required by law (e.g., verified deployment for U.S. military). Device and account must be in good standing and not reported lost/stolen or suspected of fraud.
10. Numbers: Assignment, Porting, Reassignment, and Caller ID
We assign numbers at activation. You may port in/out consistent with FCC rules. Provide accurate account credentials to avoid delays. Ombee may reassign your number upon deactivation/non-renewal after a cooling-off period. We may display your name/number to recipients (Caller ID) subject to third-party databases but cannot guarantee accuracy.
11. Billing, Payment, Auto-Pay, and Disputed Charges
The billing cycle is 30 days unless stated otherwise in your service plan. Service starts after payment clears. The start and end dates of your billing cycle may change from time to time. We may suspend or terminate service if payment is declined or missed (see Section 18). We may, but are not required to, reconnect service if you pay past due amounts in full.
You can pay by credit card or debit card in four ways: (1) online by visiting our website (https://www.ombeemobile.com); (2) through the Ombee app on your device; (3) over the phone by calling customer service at (833) 877-2095; or (4) in person by visiting an Ombee store or authorized payment center. Cash payments are accepted only to the extent required by law. You authorize us to credit your card for refunds or other billing adjustments. We may also offer you the option of paying by bank transfer. We require you to provide a valid billing address and to update that address within 30 days of changing it. We may charge a returned payment fee as permitted by law.
Ombee offers optional Auto-Pay that deducts payments each cycle from an authorized credit card, debit card, or through direct bank transfer. By selecting Auto-Pay on our website or app you authorize us to make these recurring deductions. All charges post on the cycle renewal date (i.e., the first day of the billing cycle). This may change from time to time, but we will not deduct payment more than three business days before the cycle renewal date. Ombee is not responsible for damages resulting from any change in the date your account is debited, even in error. You must cancel Auto-Pay at least 24 hours before this date. Please update your payment information promptly to avoid any service interruptions. You will receive no prior notice of an upcoming Auto-Pay date unless required by law.
Please review your bills to ensure the charges are accurate. Contact Ombee customer service immediately if you suspect unauthorized or incorrect charges on your account. All charges will be deemed accepted if not disputed within 30 days.
12. Cancellation
Ombee’s service plans are month-to-month. You may cancel service at any time. If you do not port your number to a new carrier, your service will terminate at the end of your current billing cycle. (For example, if you cancel on January 15, and your billing cycle ends on January 31, your service will terminate on January 31.) If you port your number to a new carrier, your service will terminate when porting is complete. You are responsible for costs and fees incurred through termination of service. No refunds are given for the period between cancellation and termination of service (see Section 14).
13. Taxes, Surcharges, Fees, and Emergency Services
Unless prohibited by applicable law or agreement, you agree to pay applicable taxes, regulatory surcharges, 911 fees, and other pass-through charges imposed by law. We will use the street address you provide as your place of primary use (PPU) to determine taxes and fees. We may assign you a default address for tax purposes if you provide an incorrect PPU or an address that does not match your number’s service area, does not allow us to identify the jurisdiction of taxation, or is not recognized as a street address (such as a post office box). Please contact Ombee customer service immediately at (833) 877-2095 if the street address on your account changes or if you believe it is incorrect.
Regulatory surcharges are based on amounts set by the government or based on government formulas and may change from time to time. They may also change or vary based on your location or address. Surcharges are not taxes. We collect them from you as part of our rates and keep them. Information about surcharges is available on our website at https://www.ombeemobile.com.
Ombee does not add activation or reconnection fees. However, we may charge for certain transactions (such as changing phone numbers or devices). We will notify you if these fees apply to your transaction.
We route 911 calls to public safety answering points (PSAPs) when available (Enhanced 911/E-911). Location accuracy is not guaranteed. If Wi-Fi calling is enabled on your device, it is important for you to provide and keep your Registered Emergency Address up to date. If you do not, 911 routing may be incorrect or unavailable. 911/112 access may not be available abroad. Participation in Wireless Emergency Alerts (WEA) depends on device/network support.
14. Refunds/Returns, Trials, Third-Party Purchases, and Out of Plan Charges
No refunds are provided for service once activated or renewed, even if partially used or unused. Devices and accessories are handled under manufacturer warranties only (no Ombee retail return program unless explicitly stated in a promotion).
You can use your device to purchase services and products from third parties (for example, app stores, content providers, or premium SMS/short-code services). Ombee is not responsible for charges from these third parties by you or any other person using your device. Please use the Ombee Mobile app, visit our website (https://www.ombeemobile.com), or contact customer service at (833) 877-2095 to learn how you can block third-party charges on your device. Contact Ombee customer service immediately if you suspect unauthorized or incorrect charges on your account.
Using certain numbers (“900” or “976” numbers, for example) may result in you incurring additional or out-of-plan charges. You are solely responsible for these charges.
15. Coverage Maps, Interruptions, and Force Majeure
Coverage maps are estimates. Service can be interrupted or limited by outages, maintenance, upgrades, or events beyond our control (e.g., disasters, strikes). Ombee is not liable for service interruptions (see Section 23).
16. International Services
International voice/SMS/data availability varies by country and can be restricted or blocked (e.g., premium/satellite destinations). VoLTE/VoNR may not be universally supported. Rates, quality, and access can change without notice. Fraud/anomaly controls may limit use to protect customers.
17. Acceptable Use Policy
Service is for personal, non-commercial use on a smartphone/tablet device by a single end user per line. Prohibited uses include, but are not limited to:
- Resale, SIM farms, gateway or trunking services, call-center/telemarketing use;
- Auto-dialers, bulk SMS/MMS, spam, unsolicited advertising;
- High-volume tethering inconsistent with personal use;
- Interference with network security or other customers;
- Persistently exceeding typical consumer usage norms or operating “always-on” servers;
- Circumventing usage controls, spoofing IMEI/IMSI, or unauthorized SIM swaps;
- Using service to probe network security or to facilitate fraud; and
- Using Ombee services or devices in a manner not authorized by or in violation of an applicable license (e.g., reproducing or reselling source code from licensed software).
18. Suspension, Throttling, Termination, and Deactivation
We may suspend, restrict, throttle, or terminate service for: Acceptable Use Policy violations; suspected fraud or abuse; non-payment; our inability to verify your identity; threats to network integrity; or legal/regulatory reasons. Lines may be deactivated for non-renewal. We are not required to provide a refund (see Section 14).
19. Content, Third-Party Services, and Short Codes
Customer is responsible for content they access or transmit. We do not control or guarantee third-party services, apps, or short-code programs. Some short codes may be blocked by default for security and fraud mitigation.
20. Privacy Policy and Information Security
Our Privacy Policy describes how we collect, use, disclose, and protect data, including Customer Proprietary Network Information (CPNI). Please do not share usernames, passwords, PINs, security question answers, or any other sensitive account information with others. Doing so may give unauthorized individuals or entities access to your account and CPNI. This might result in changes to your account or your incurring additional charges.
Please report suspicious activity or charges to Ombee immediately (see Section 11).
21. Informal Resolution of Disputes, Mandatory Arbitration Agreement, and Opt-Out
You agree that any dispute between you and Ombee will be resolved informally if possible. If we cannot resolve your dispute through customer service, you must first send a written notice of dispute to Ombee by email at support@ombeemobile.com or in writing to Scott Nave, 30721 Russell Ranch Road, Suite 140, Westlake Village, CA 91362. Please provide us with your name, phone number, address, and enough information for us to understand the nature of your dispute. We will attempt to negotiate a resolution with each other in good faith.
If we do not resolve your dispute informally within 60 calendar days of your providing notice, you agree to resolve the dispute either: (1) in court through small claims procedures; or (2) outside of court by INDIVIDUAL, BINDING ARBITRATION administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (available at www.adr.org), as modified by the Wireless Industry Arbitration (WIA) Rules (available at www.icdr.org). This includes disputes relating to any services, devices, or products provided by Ombee or our third-party suppliers and vendors (e.g., device and equipment manufacturers, retailers).
Arbitration will be conducted by a single arbitrator. You agree your arbitration shall be conducted on an individual basis and not subject to consolidation with other arbitrations. The arbitrator may award any relief that would be available in court, including injunctive or declaratory relief and attorneys’ fees, but only as to you individually and only to the extent necessary to resolve your individual claim.
Payment of all filing, administrative, and arbitrator fees will be governed by the above rules. We agree each party will bear the expenses of its attorneys, experts, witnesses, and preparation and presentation of evidence in accordance with the above rules. If you initiate arbitration, we will reimburse the difference between the initial arbitration filing fee you pay and the fee for filing a complaint in a federal or state court when the arbitration ends. We will not reimburse you if the arbitrator finds your claim is frivolous or that you brought your claim for an improper purpose (as set forth in Federal Rules of Civil Procedure, Rule 11(b)). We may also seek an award of our legal fees or costs against you or your attorney. These Terms authorize the arbitrator to award fees or other sanctions against your counsel in addition to those allowed by the above rules. If a court of law determines this arbitration provision is not enforceable in whole or in part, it will not be enforceable as to you only. You may also opt out of mandatory arbitration as explained below.
Either you or we may initiate small claims or arbitration proceedings as provided above. Any dispute heard in small claims court will not be decided by an arbitrator. Whether the claim is properly before the small claims court will be decided by that court. Whether the claim is properly before the arbitrator will be decided by the arbitrator. A court may also decide whether the parties complied with the informal dispute resolution process described above.
These Terms are covered by the Federal Arbitration Act, applicable federal law, and the law of the state or jurisdiction in which your service address is located (without regard to that state’s or jurisdiction’s conflicts of law rules). The arbitrator must follow these Terms and relevant substantive law (including, but not limited to, applicable statutes of limitations, defenses, and privileges) and may award, on an individual basis, any relief that would be available in court. Any arbitration or other proceeding will take place in the county and state in which your service address is located unless the parties agree on a different location. The arbitrator will not be bound by findings, rulings, or any other decision made in prior arbitrations, even if between the same parties or involving similar claims.
You may choose to pursue your claim in court by OPTING OUT of mandatory arbitration by written notice within 30 days of first activating service or buying a device from us, whichever is earlier. Please provide written notice by sending an email with the subject line “Arbitration opt-out” to support@ombeemobile.com. Please include your name, phone number, and address so that we can identify your Ombee account and assign a customer service representative to assist you. You can also opt out by clicking on the “Dispute Resolution” link on our website and completing the opt-out form. It is important to opt out by the 30-day deadline. Notices received after this deadline will not be valid and you will be subject to the arbitration requirements above.
22. Class Action and Jury Trial Waivers
You agree to handle all disputes with Ombee individually and not in a class or representative action, or as a member of a class or representative action. If this provision is deemed inapplicable or invalid, or otherwise found to allow litigation in court, you and Ombee agree to proceed with a bench trial and WAIVE ANY STATUTORY OR CONSTITUTIONAL RIGHT TO A JURY TRIAL. A court may decide whether a claim filed in court or arbitration complies with this section. If the court or arbitrator finds one or more parts of a claim are not subject to these class action and jury trial waivers, those waivers will still apply to the remaining parts of the claim.
23. Limitation of Liability and Exclusive Remedies
To the maximum extent permitted by law, Ombee is not liable for: (a) service interruptions; (b) dropped calls or data loss; (c) emergency service failures; (d) unauthorized access to your device/line, and costs incurred of any type during unauthorized access; (e) indirect, incidental, punitive, special, or consequential damages. Our total liability is limited to the fees you paid to Ombee for the affected service period.
Ombee is not a publisher of, or liable for, the information, apps, services, or any other content you receive through third parties using our network and devices.
24. Indemnification by Customer
You agree to indemnify and hold Ombee and its affiliates harmless from claims, damages, and costs (including reasonable attorneys’ fees) arising from your breach of these Terms, misuse of service, or violations of law or the rights of third parties.
25. Warranties and Disclaimers
Services are provided “as is” and “as available” without warranties of any kind. We disclaim any implied warranties (for example, merchantability, fitness for a particular purpose, and non-infringement). Some jurisdictions may not permit certain disclaimers; your rights may vary depending on jurisdiction.
As stated in Section 8, devices sold by Ombee are subject to the manufacturer’s warranty only. We disclaim any other device warranty.
26. Assignment and Transfer
We may assign our rights and obligations under these Terms in whole or in part without notice to you (for example, in the event of corporate restructuring). You may not, however, assign your rights or obligations under these Terms without our prior written consent.
27. Contacting You
You consent to receiving any account-related communications from us electronically (e.g., SMS, email, in-app, website). We may also contact you by telephone, mail, or other means. Please keep your contact information current.
28. Governing Law, Venue, and Survival of Termination
This Agreement shall be governed by the laws of the State of California. Arbitration shall be conducted pursuant to the rules of arbitration discussed in Section 21. Sections 21 through 26, and this Section 28, shall survive termination of this Agreement.
29. Severance
Any part of the Agreement held invalid may be severed from the Agreement. The remainder shall remain in full force and effect.
30. No Third-Party Beneficiaries
This Agreement is for the benefit of you, us, and our affiliates, subsidiaries, and successors in interest. This Agreement shall not confer any remedy, claim, liability, reimbursement, cause of action, or other right or benefit on any third parties.
31. Entire Agreement
The Agreement is the entire agreement between you and us and supersedes any prior agreement or representations, written or oral, relating to the subject matter of this Agreement. This includes, but is not limited to, other documents given to you, or statements made by, any service representative or other agent.
